摘要(Abstract):
本文采用双案例对比的方法,通过对中车株洲所和西安华陆科技两家企业混合所有制改革过程中的关键问题进行分析,探讨了央企科研院所混合所有制改革的过程、特征和机制。央企科研院所混合所有制改革中的关键问题主要包括混改动因、混改对象选择、股权定价方式、股权结构变化和股权激励。这五个方面在逻辑上相互递进,精准解决了谁投资、谁经营、谁受益的问题,能够复盘央企科院院所混合所有制改革的全过程。央企科研院所既要承担国家创新使命,又要作为市场主体参与竞争,强调对科研、技术人员的中长期激励,走以人才和技术为依托的科技产业化道路是其混合所有制改革的最大特征。资本运营、市场导向、协同创新和人才激励四个机制互相依存、互相关联,为央企科研院所实现科技产业化提供了重要支撑。本文为新发展阶段深化国企混合所有制改革,完善社会主义分配关系提供了理论和实践经验。
